

TERMS & CONDITIONS.
1. Introduction
These Terms & Conditions (“Terms”) govern the relationship between PRIME AMZ LLC (“Service Provider,” “we,” “us,” or “our”), a company registered in the United States (Registration No. 8045909), with its registered office at 1209 Mountain Road PL NE #7248, Albuquerque, NM 87110, and any individual or entity (“Customer,” “you,” or “your”) that engages our services.
By signing a Service Agreement with Prime AMZ LLC or accessing our services, you confirm that you have read, understood, and agree to be bound by these Terms.
2. Services
Prime AMZ LLC provides Amazon account management services, including but not limited to listing optimization, PPC advertising management, creative content production, inventory management support, and performance reporting. The full scope of services for each engagement is defined in the Schedule(s) attached to your individual Service Agreement.
We provide all services with reasonable skill and care, commensurate with prevailing standards in the Amazon e-commerce sector.
3. Fees & Payment
3.1 Setup Fee A one-time Setup Fee (1st Month) is due in full on the day of onboarding. Payment may be made via bank transfer or credit card/AMEX.
3.2 Monthly Management Fees From the second month onward, recurring monthly fees are charged via GoCardless direct debit or credit card/AMEX subscription, as authorised by the Customer at the time of sign-up.
3.3 Late Payments If a monthly fee is not paid within 7 days of the due date, a late fee of USD $25 will be applied. If the fee remains unpaid for 14 days after the late notice, all services will be suspended. Suspension does not pause the accrual of late fees.
3.4 Automatic Offboarding If payment remains outstanding for 30 days from the due date, a written termination notice will be issued. If payment is still not received within 7 days of that notice, the outstanding balance will be transferred to a debt collection agency, and the Customer will be responsible for any associated legal costs.
3.5 Additional Charges

Excess variations: A maximum of 5 variations per Parent ASIN is included. Additional variations are charged at USD $275 each.

Add-on ASINs: Adding a new Parent ASIN to an existing marketplace incurs a USD $500 setup fee per product, plus adjusted monthly management fees.

Additional marketplaces: Available at 50% of standard setup fees for existing customers.

Account reactivation: Reactivation of a suspended or deactivated Seller Central / Vendor Central account is subject to a USD $2,500 reactivation fee.

FBA reimbursements: Where Prime AMZ LLC recovers funds from Amazon for lost, damaged, or unprocessed inventory, a 25% fee of the net recovered amount is due on the following invoice.

Excess content revisions: During the Setup Phase, up to two rounds of content revisions are included. Additional revisions beyond this are charged at USD $750 per day.
3.6 Annual Fee Review After 12 months from your commencement date, we may review and adjust our fees. We will provide at least 30 days’ written notice of any changes. If you do not agree to the new fees, you may terminate the Agreement in writing within that 30-day notice period.4. No Refund Policy
All payments made to Prime AMZ LLC are final and non-refundable. This applies to the Setup Fee (Month 1) and all subsequent monthly management fees.
Once you enter into a Service Agreement, you are contractually obligated to pay for services rendered. No refunds will be issued for any reason, including dissatisfaction with results, inability to use the service, or early termination by the Customer.5. Contract Term & Termination
Your Service Agreement is for an initial 12-month fixed term. Upon completion of the initial term, the agreement automatically continues on a rolling monthly basis. Either party may terminate the rolling agreement by providing 30 days’ written notice.
Upon termination, all outstanding sums become immediately due and payable. Confidentiality obligations and any accrued rights of either party survive termination.6. Customer Obligations
You agree to:

Provide all information, access, and materials reasonably required by Prime AMZ LLC to deliver the services (including Amazon Seller/Vendor Central access, brand assets, COGS data, and product documentation).

Respond to requests for approvals or decisions in a timely manner. Delays caused by the Customer’s failure to provide required information are not the responsibility of Prime AMZ LLC.

Follow all instructions and guidance provided by our team in a reasonable and timely manner.
7. Limitation of Liability
7.1 Prime AMZ LLC shall not be liable for any loss of sales, revenue, stock, or other negative business outcomes arising during or after the course of the engagement. Use of our services is at your own risk.
7.2 Prime AMZ LLC shall not be liable for Amazon account deactivation or resulting losses, provided we have not intentionally or negligently violated Amazon’s Terms of Service and have taken all reasonable measures to prevent deactivation.
7.3 To the maximum extent permitted by applicable law, Prime AMZ LLC shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of data, or business interruption.
7.4 Prime AMZ LLC does not guarantee specific results for any service. All strategies reflect current best practices but results may vary based on market conditions, platform changes, and factors outside our control.
7.5 If the Customer is unable to provide documentation required by Amazon’s policies, Prime AMZ LLC may be unable to proceed with certain services, and no refund will be implied.
8. Intellectual Property
All creative work, content, listings, images, and deliverables produced by Prime AMZ LLC in the course of the engagement are the exclusive property of the Customer upon payment of all applicable fees. Prime AMZ LLC transfers all applicable rights to the Customer, including the right to use, reproduce, distribute, and adapt the work.
9. Confidentiality
Both parties agree to keep all information disclosed in connection with the service engagement strictly confidential — including the content of any agreements, business knowledge, and account data — for an indefinite period, including after termination of the relationship.
10. Zero Tolerance Policy
Prime AMZ LLC is committed to maintaining a professional and respectful working environment. The following behaviours are strictly prohibited:

Verbal or written abuse, offensive language, or personal attacks directed at our team.

Discrimination based on race, gender, religion, disability, sexual orientation, or any other protected characteristic.

Bullying, harassment, intimidation, or threatening behaviour.
Violations of this policy may result in immediate termination of services without refund.
All client communications must take place through designated channels — Slack (brand channels only), email, and Monday.com. Direct messages to individual staff members for work-related discussions are not permitted.
11. Force Majeure
Neither party shall be liable for failure or delay in performing obligations caused by circumstances beyond their reasonable control, including but not limited to power failure, internet outages, industrial action, natural disasters, acts of war, or government action.
12. Dispute Resolution
In the event of a dispute, the parties will first attempt to resolve the matter through direct negotiation within 7 days. If unresolved, the parties will pursue an agreed Alternative Dispute Resolution (ADR) process. If ADR is unsuccessful or either party declines to participate, the dispute will be referred to the courts of the State of New Mexico, USA, whose decision shall be final and binding.
13. Governing Law
These Terms and any Service Agreement entered into with Prime AMZ LLC are governed by and construed in accordance with the laws of the State of New Mexico, USA.
14. General

Entire Agreement: These Terms, together with your signed Service Agreement and Schedules, constitute the entire agreement between the parties.

Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.

No Waiver: Failure to enforce any provision does not constitute a waiver of that provision.

Modifications: These Terms may be updated from time to time. Continued engagement with our services constitutes acceptance of the updated Terms.
